1. Agreement to Terms

By accessing or using any services provided by Zyra AI ("Zyra", "we", "us", or "our"), including our website at zyraagents.com, our AI agent platform, and any related services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Zyra AI provides custom AI agent solutions for businesses in the Middle East and beyond. Our services include:

• Custom AI agent development and deployment
• Website chat widget integration
• WhatsApp Business API integration
• Instagram messaging integration
• Lead qualification and collection services
• Ongoing support and maintenance

3. Subscription Plans and Payment

Plans

Zyra AI offers three subscription tiers: Starter ($199/month), Growth ($399/month), and Pro ($699/month). Plan details and included features are described on our pricing page and may be updated from time to time.

Billing

Subscriptions are billed monthly. Payment is due within 30 days of the invoice date. We accept bank transfers via Wise and other payment methods as agreed upon during onboarding.

Cancellation

You may cancel your subscription at any time by contacting us at hello@zyraagents.com. Cancellations take effect at the end of the current billing period. No refunds are issued for partial months.

4. Client Responsibilities

As a client of Zyra AI, you agree to:

• Provide accurate business information required for agent setup
• Ensure your use of Zyra agents complies with applicable laws and regulations
• Not use the service to send spam, misleading content, or engage in fraudulent activity
• Keep your account credentials and API access secure
• Notify us promptly of any unauthorized use or security breach
• Obtain any necessary consents from your own clients before collecting their data through Zyra agents

5. Acceptable Use

You may not use Zyra AI services to:

• Violate any applicable laws or regulations
• Collect or process personal data without proper legal basis
• Impersonate any person or entity
• Transmit harmful, offensive, or illegal content
• Attempt to reverse engineer or copy our AI systems
• Resell or sublicense our services without written permission

6. Intellectual Property

All technology, software, designs, and systems created by Zyra AI remain our exclusive property. Custom AI agents built for your business are licensed to you for use during your active subscription. Upon cancellation, your license to use the agent terminates.

Any content you provide to us (listings, FAQs, brand materials) remains your property. You grant us a license to use this content solely for the purpose of building and operating your AI agent.

7. Confidentiality

We treat all client business information as confidential. We will not share your business data, client lists, or any proprietary information with third parties without your consent, except as required by law.

8. Service Availability

We aim to maintain 99% uptime for all deployed agents. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by third-party services including Anthropic, WhatsApp Business API providers, or cloud hosting platforms.

9. Limitation of Liability

Zyra AI's liability to you for any claim arising from these terms or our services is limited to the total amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost leads.

AI agents may occasionally produce inaccurate or inappropriate responses. We are not liable for any damages resulting from AI-generated content. It is your responsibility to review and test your agent before deploying it to your clients.

10. Modifications to Terms

We may update these terms from time to time. We will notify active clients by email at least 14 days before significant changes take effect. Continued use of our services after that date constitutes acceptance of the new terms.

11. Governing Law

These terms are governed by the laws of Lebanon. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes shall be subject to the jurisdiction of the courts of Beirut, Lebanon.
